Welcome to Fiduci Consulting Inc. ("Fiduci," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website https://fiduciconsulting.com and our coaching, consulting, and advisory services (collectively, the "Services")

.By accessing our website or engaging with our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or Services.

2. Services Overview

Fiduci Consulting Inc. provides career architecture, leadership coaching, and strategic advisory services to STEM professionals, tech leaders, and high-stakes professionals. Our Services include:

• The Accelerator (3-month program)
• The Transformation (4-month program)
• The Mastery (6-month program)
• 90-Minute AI-Resiliency Audit (one-time diagnostic session)
• Email and Slack support (as specified in each program)

All Services are delivered remotely via video conferencing (Zoom, Google Meet, or similar platforms).

3. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

4. Enrollment and Payment

4.1 Enrollment

To enroll in a program, you must:

• Complete the enrollment process on our website.
• Provide accurate and complete information.
• Agree to these Terms and our Privacy Policy.

4.2 Payment

• All payments are processed securely via Stripe.
• Payment is due in full at the time of enrollment, unless you select a payment plan option.
• Payment plan options (if available) are specified on the program page and must be completed according to the agreed schedule.
• All prices are in USD unless otherwise stated.

4.3 Payment Plans

• If you select a payment plan, you authorize us to charge your payment method on the agreed schedule.
• Failure to make a scheduled payment may result in suspension of Services until payment is received.
• If payment is not received within 14 days of the due date, your enrollment may be terminated, and you will forfeit access to remaining sessions.

4.4 Taxes

• You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction.

5. Money-Back Guarantee

We offer a Money-Back Guarantee for all programs, subject to the following terms:

5.1 The Accelerator (3 Months)

If, after the first session, you show up prepared, engage with the process, and still don't believe this is the right investment for your career, we will refund you in full—no questions asked.

5.2 The Transformation (4 Months)

If after the first two sessions you show up prepared, engage with the process, and still don't believe this is the right investment for your career, we will refund you in full—no questions asked.

5.3 The Mastery (6 Months)

If after the first three sessions you show up prepared, engage with the process, and still don't believe this is the right investment for your career, we will refund you in full—no questions asked.

5.4 Refund Process

• To request a refund, email us at info@fiduciconsulting.com within the guarantee period.
• Refunds will be processed within 14 business days of approval.
• Refunds will be issued to the original payment method.

5.5 Exclusions

The Money-Back Guarantee does not apply if:

• You fail to attend scheduled sessions without prior notice.
• You do not show up prepared or engage with the process in good faith.
• You request a refund after the guarantee period has expired.

6. Cancellation and Rescheduling

6.1 Cancellation by You

• You may cancel a scheduled session by providing at least 24 hours' notice.
• Sessions cancelled with less than 24 hours' notice will be forfeited and cannot be rescheduled.
• If you wish to cancel your enrollment entirely, the Money-Back Guarantee (Section 5) applies.

6.2 Cancellation by Us

• We reserve the right to cancel or reschedule a session due to unforeseen circumstances (e.g., illness, emergency).
• If we cancel a session, we will reschedule it at a mutually convenient time at no additional cost.

6.3 No-Show Policy

• If you fail to attend a scheduled session without prior notice, the session will be forfeited and cannot be rescheduled or refunded.

7. Client Responsibilities

To maximize the value of our Services, you agree to:

• Show up prepared: Complete any pre-session assignments or exercises.
• Engage actively: Participate fully in sessions and implement the strategies discussed.
• Communicate proactively: Notify us in advance if you need to reschedule or have questions.
• Maintain confidentiality: Do not share proprietary frameworks, materials, or strategies provided during sessions without our written consent.

8. Intellectual Property

8.1 Ownership

All content, materials, frameworks, and intellectual property provided by Fiduci Consulting Inc. (including but not limited to the Fiduci Protocol, session materials, and proprietary strategies) are owned by Fiduci Consulting Inc. and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the materials provided during your program for your personal career development only. You may not:

• Reproduce, distribute, or sell any materials without our written consent.
• Use our materials to provide coaching or consulting services to others.
• Reverse-engineer or replicate our proprietary frameworks.

8.3 Testimonials and Case Studies

By enrolling in our Services, you grant us permission to use your name, title, and testimonial (if provided) for marketing purposes, unless you explicitly opt out in writing.

9. Confidentiality

9.1 Our Commitment

We will keep all information you share during sessions confidential, except:

• Where required by law.
• Where you provide explicit consent to share.
• Where necessary to protect our legal rights.

9.2 Your Commitment

You agree to keep all proprietary frameworks, strategies, and materials provided by Fiduci Consulting Inc. confidential and not share them with third parties without our written consent.

10. Disclaimers and Limitations of Liability

10.1 No Guarantees of Specific Outcomes

While we are committed to providing high-quality coaching and strategic guidance, we cannot guarantee specific outcomes (e.g., promotions, salary increases, job offers). Your results depend on many factors, including your effort, market conditions, and organizational dynamics.

10.2 Not a Substitute for Professional Advice

Our Services are not a substitute for legal, financial, medical, or psychological advice. If you require such advice, please consult a licensed professional.

10.3 Limitation of Liability

To the fullest extent permitted by law, Fiduci Consulting Inc. and its affiliates, employees, and contractors shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or our Services shall not exceed the amount you paid for the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fiduci Consulting Inc. and its affiliates, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms.
• Your misuse of our Services or materials.
• Your violation of any third-party rights.

12. Termination

12.1 Termination by You

You may terminate your enrollment at any time, subject to the Money-Back Guarantee (Section 5). After the guarantee period, no refunds will be issued for unused sessions.

12.2 Termination by Us

We reserve the right to terminate your enrollment and access to our Services if:

• Your breach of these Terms.
• You engage in abusive, disrespectful, or disruptive behavior.
• You fail to make scheduled payments (if on a payment plan).

If we terminate your enrollment, no refunds will be issued.

13. Dispute Resolution

13.1 Informal Resolution

13.2 Arbitration

If we cannot resolve the dispute informally, you agree that any dispute arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the [American Arbitration Association / your preferred arbitration body], rather than in court.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.
